Rutherford has been mandated on an excellent opportunity for a Paralegal to join our private equity client's London legal team. The successful candidate will assist on a variety of projects and will need a strong working knowledge of documentation related to fund formation and structuring. This is a junior role, offering the chance to learn and be mentored by a top-tier legal team at a leading private equity firm.
Responsibilities:
•Oversee and manage the firm’s legal documentation and implement updates to the document management system.
•Handle a range of corporate administrative duties for legal entities across multiple jurisdictions.
•Review and summarise basic contractual terms, including confidentiality agreements, NDAs, side letters, and terms of business.
•Analyse and summarise transaction documentation related to investments.
•Manage the preparation and distribution of materials for quarterly board and committee meetings, including meeting minutes.
•Take responsibility for customer due diligence procedures and the new client onboarding process.
•Ensure timely preparation and submission of regulatory filings with bodies such as the FCA, SEC, and other relevant regulators.
•Assist with regular compliance checks, including personal account trading reviews and vendor screening.
Background:
•At least 1 year of experience as a paralegal in a leading UK or US law firm, or within an in-house legal team in an investment management firm. A background in investment funds will be preferred.
•Strong academic credentials from a reputable university.
•Exceptional attention to detail and precision in work.
•A proactive, accountable approach with intellectual curiosity.
•Ability to digest and present complex information clearly and concisely.
