Position Overview
As a successful candidate, you will work alongside a highly skilled team of attorneys and make a significant contribution to the provision of exceptional legal services within the private funds sector.
Main Duties
Your core responsibilities will encompass, but not be limited to:
Collaborating in the structuring, formation, and documentation of private equity funds, which includes drafting and negotiating fund documents, partnership agreements, and subscription agreements.
Ensuring strict compliance of private equity funds with all applicable laws and regulations, while staying informed about evolving legal requirements that impact the industry.
Cultivating and managing relationships with fund investors, addressing inquiries, concerns, and requests, and providing expert counsel on matters related to fund operations.
Reviewing and negotiating investment documentation, including term sheets, purchase agreements, and other transactional documents, all while providing legal insights into fund investments.
Conducting due diligence and legal research on potential investments, evaluating associated risks and benefits connected to fund activities.
Offering guidance on fund governance and overseeing responsibilities such as fund meetings, record-keeping, and ensuring adherence to fund policies.
Requirements
An impressive academic background that showcases your commitment to excellence.
Specialized, dedicated experience in fund formation law, preferably from a top-tier law firm within this domain.
Willingness to undertake the California Bar, if not already admitted.
Qualification as a Lawyer.
