Job Overview:
A premier US and international law firm has multiple exciting opportunities for ambitious Associates to join their thriving UK Corporate / Private Equity team in London. These positions focus primarily on Financial Sponsor-driven mandates.
Key Responsibilities:
Act on behalf of top-tier financial sponsors and their portfolio companies throughout the investment cycle.
Provide guidance on executive incentive programs, funding strategies, debt refinancing, add-on investments, leadership transitions, recapitalizations, corporate reorganizations, and exit strategies
Support portfolio companies on legal issues related to financial sponsor ownership and leveraged structures.
Draft and negotiate key transaction documents, including:
Share Purchase Agreements (SPAs) (both locked box and completion accounts versions)
Management incentive documents (including leaver terms)
Shareholders' agreements
NDAs, engagement letters, disclosure letters, diligence reports, and ancillary documents
Assist with structuring financial sponsor transactions and reviewing funds flow documentation.
Senior-level candidates will be expected to take a leadership role in deal execution, reporting directly to partners and counsel while overseeing junior colleagues.
Requirements:
1-6 years' post-qualification experience (PQE) within a leading Corporate or Private Equity team.
Strong Corporate and Financial Sponsor experience, particularly in transaction structuring and documentation drafting.
Excellent written and verbal communication skills, with the ability to take initiative and manage complex workloads.
Ability to handle a fast-paced, high-responsibility environment.
Experience working on international, high-profile transactions is highly advantageous.
