​Our Client

A global private markets fund with over $85bn AuM is looking to introduce a Legal Counsel into their New York team.

This individual will report directly into the Head of Investments whilst working closely with senior members of the investments structuring team.

​

Main Duties

Key responsibilities for this position will include, but are not limited to:

  • Execute on complex transactions of various types (including debt transactions such as fund financings and/or project finance transactions)

  • Documentation negotiation such as framework agreements, SPA/LPAs, term sheets and shareholder agreements

  • Investor onboarding

  • Support on investment closing processes and operational closing initiatives

  • Investment structuring relating to a global client base, partnering with the investment teams and external advisors relating to tax matters

  • Execution of deal level debt transactions whilst also advising on debt term fundamentals.

Your Profile

  • JD is required

  • 3+ years experience within either the fund or private practice markets

  • A proven track record in documentation negotiation, the execution of debt transactions and deal structuring.

Basic salary range: $190,000 - $240,000
